Terms of Service

Important: Please read these Terms of Service carefully before using EventBridge. By accessing or using our platform, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access the service.

1. Acceptance of Terms

Welcome to EventBridge, operated by Event Bridge Technologies (Pty) Ltd ("EventBridge", "we", "us" or "our"), a private company registered in and operating under the laws of South Africa. These Terms of Service ("Terms") govern your use of our website, mobile applications and related services, including our Seamless™ cashless wallet and our Friends social discovery feature (collectively, the "Service").

By accessing or using EventBridge, you agree to:

  • Be bound by these Terms and our Privacy Policy
  • Comply with all applicable laws and regulations
  • Provide accurate and complete information
  • Use the Service in a responsible and lawful manner

These Terms apply to all visitors, guests, ticket purchasers, event organisers and any other users who access or use the Service. Additional terms may apply to specific features (such as Seamless™ or Friends), and where they conflict with these Terms in relation to that specific feature, the feature-specific terms will apply to the extent of the conflict.

2. Description of Service

EventBridge is an online ticketing and event platform that facilitates:

  • Discovery and browsing of events
  • Ticket purchasing and event registration
  • Event creation and management tools for organisers
  • Payment processing for ticket sales via our payment partner, Paystack
  • Cashless wallet, top-up, peer-to-peer transfer and RFID-based event access via Seamless™
  • Social event discovery, digital business cards and friend connections via Friends
  • Communication between event organisers and attendees
  • Event promotion and marketing tools

We act as an intermediary between event organisers and ticket purchasers, providing the platform and tools necessary for these transactions. We do not organise, run, or take responsibility for the events themselves.

3. Eligibility and User Accounts

3.1 Age Requirements

You must be at least 18 years old to create an EventBridge account, hold a Seamless™ wallet, or provide personal information to us for processing. Where a person under 18 is permitted by an organiser to attend or engage with a specific event feature, that person must be assisted and supervised by a parent or legal guardian, who by giving such supervision and consent agrees to be bound by these Terms in respect of that minor's use of the Service.

3.2 Account Creation

To use certain features of our Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current and complete information
  • Maintain and promptly update your account information
  • Keep your password and any authentication credentials (including passkeys) secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised use of your account or Seamless™ wallet

3.3 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your login credentials
  • Ensuring your contact information is current and accurate
  • Complying with these Terms and applicable laws

3.4 Account Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your profile settings. Where you hold a Seamless™ wallet balance, that balance must be withdrawn or resolved before your account can be deleted. We may suspend or terminate your account, with or without notice, if you violate these Terms or engage in prohibited activities.

4. Ticket Purchases and Sales

4.1 Ticket Purchases

When purchasing tickets through EventBridge:

  • You enter into a contract directly with the event organiser for the ticket itself; EventBridge facilitates that transaction but is not the seller of the ticket
  • All sales are final unless otherwise specified by the organiser or required by law
  • Displayed ticket prices include applicable service fees unless stated otherwise at checkout
  • You must provide accurate billing and contact information
  • You agree to use tickets only for lawful, personal purposes and not for unauthorised resale

4.2 Payment Processing

EventBridge uses Paystack, a secure third-party payment processor, to handle card and payment transactions. By making a purchase, you agree to:

  • Provide valid, accurate payment information
  • Pay all charges associated with your purchase
  • Accept responsibility for any declined or failed payments
  • Comply with Paystack's applicable terms of service
  • Refrain from filing a chargeback or payment dispute for tickets you intend to use or have used; doing so may result in ticket cancellation, account suspension, and recovery of costs and losses caused by an unwarranted chargeback

4.3 Ticket Delivery and Access

Tickets are delivered electronically (including via email, in-app wallet, Samsung Wallet or Google Wallet where supported) unless otherwise specified. You are responsible for:

  • Ensuring you can receive and access electronic tickets
  • Bringing valid identification to events as required
  • Following event-specific entry requirements set by the organiser
  • Safeguarding your tickets, RFID wristband, and any associated QR codes from unauthorised use

Where a ticket is transferred to another person using our transfer feature, responsibility for that ticket passes to the recipient upon successful transfer, and the original purchaser's copy of the ticket is invalidated.

4.4 Refunds and Cancellations

Refund policies are primarily set by individual event organisers, and you should review the specific event's refund policy before purchasing. EventBridge may facilitate refunds on an organiser's instruction but is not responsible for an organiser's refund decisions. Where EventBridge does process a refund:

  • Refunds will be issued to the original payment method used for the purchase
  • Processing may take 5–10 business days from approval
  • Service fees may not be refundable, depending on the circumstances of the cancellation
  • Partial refunds may apply where an organiser's policy provides for this
  • We will never request your bank card PIN, One-Time PIN, or full card number by email; if we need banking details to process a manual refund, this will only ever be requested via info@ebtickets.com and you should independently verify any such request before responding

5. Seamless™ Cashless Wallet

5.1 Nature of the Wallet

Seamless™ is a stored-value cashless wallet linked to your account and, where applicable, an RFID wristband issued for a specific event. Funds loaded into your Seamless™ wallet are held to enable purchases, peer-to-peer transfers, and withdrawals in connection with the Service, in accordance with our Privacy Policy and applicable financial record-keeping laws.

5.2 Your Responsibilities

You agree to:

  • Only load funds you are lawfully entitled to use
  • Keep your linked bank account and withdrawal details accurate and up to date
  • Report a lost, stolen, or compromised wristband or wallet to us immediately
  • Accept that no wallet transaction is authoritative until validated by our backend systems, and that we may reverse or decline transactions that fail validation or appear fraudulent

5.3 Withdrawals and Disputes

Withdrawal requests are subject to identity verification and standard processing times. Seamless™ transaction history is retained to resolve disputes and comply with financial regulation, even where you have requested deletion of your broader account, as described in our Privacy Policy.

6. Friends Social Feature

Friends is an optional, opt-in feature that allows you to create a public profile, digital business card, follow other users, and discover events through a map-based interface. By activating Friends, you understand and agree that:

  • Information you choose to make visible (your profile, avatar, attendance at public events, and connections) is, by design, viewable by other Friends users
  • You are responsible for what you choose to make public and should not include sensitive personal information you do not want visible to others
  • You may deactivate Friends at any time independently of your core ticketing account, which will remove your public profile and connections without affecting your ticket purchase history
  • Approximate location data is only used to power the Friends map where you have permitted this at a device level

7. Event Organiser Responsibilities

7.1 Event Creation and Management

As an event organiser, you agree to:

  • Provide accurate and complete event information
  • Honour all ticket sales and commitments made through the platform
  • Comply with all applicable laws and regulations, including consumer protection and health and safety requirements
  • Obtain all necessary permits, licences and approvals for your event
  • Maintain appropriate insurance coverage for your event
  • Handle first-line customer service and communication for your events

7.2 Content and Marketing

You are responsible for all event content, including:

  • Event descriptions, images and promotional materials
  • Ensuring content is accurate and not misleading
  • Obtaining rights to use any copyrighted or trademarked material in your listings
  • Complying with applicable advertising standards and regulations
  • Complying with our branding policy by including our black/white "Tickets Available on EventBridge" logo on promotional posters, available on our Partner Resources page

7.3 Financial Responsibilities

Event organisers are responsible for:

  • Setting appropriate ticket prices and refund policies
  • Paying applicable platform and processing fees
  • Managing refunds and customer disputes for their own events
  • Complying with their own tax obligations, including issuing invoices where required
  • Handling chargebacks and payment disputes relating to their events, and reimbursing EventBridge for any losses we incur as a result of an organiser's non-compliance with these Terms

8. Acceptable Use

Prohibited Uses: The following activities are strictly forbidden on our platform and may result in immediate account suspension or termination, in addition to any other legal remedies available to us.

You must only use the Service for lawful purposes. You must not use EventBridge, or any Content or Service made available through it, to:

  • Violate any law, regulation, or third party's rights
  • Infringe on intellectual property, privacy, or other proprietary rights
  • Engage in fraudulent, deceptive, or misleading practices, including providing false information during registration or checkout
  • Impersonate EventBridge, an organiser, or any other person, or solicit another user's password or account credentials
  • Harass, threaten, stalk, or harm other users or organisers
  • Create or use fake accounts
  • Engage in scalping, unauthorised resale, or ticket speculation
  • Post inappropriate, obscene, defamatory, or offensive content, or content that solicits or endangers minors
  • Spam or send unsolicited commercial communications through the platform
  • Resell tickets offered exclusively through another platform
  • Distribute malware, viruses, or other harmful or destructive code
  • Attempt to gain unauthorised access to our systems, other users' accounts, or Seamless™ wallets
  • Circumvent, disable, or interfere with any security feature of the Service
  • Run bots, scrapers, or automated tools to access, index, or extract data from the Service, or use the Service to build a competing database of events or listings
  • Reverse engineer, decompile, or attempt to extract the source code, algorithms, or underlying architecture of the Service
  • Frame, mirror, or republish the Service or its Content outside of ordinary, permitted personal use

This list is illustrative and not exhaustive. Any restriction on use of the Service applies equally to cached or downloaded copies of Content.

9. Intellectual Property Rights

9.1 EventBridge Content

The Service and its original content, features, source code, interface, and functionality are owned by or licensed to Event Bridge Technologies (Pty) Ltd and are protected by South African and international copyright, trademark, trade secret, and other intellectual property laws. We reserve all rights not expressly granted to you under these Terms.

9.2 User Content

By posting, uploading, or submitting content on EventBridge, including reviews, Friends profile content, event photos, or comments, you represent that the content is your own or that you have the right to share it, and you grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, and distribute that content solely in connection with operating and promoting the Service. You retain ownership of your content. We are not obliged to monitor user content but may remove content that we reasonably believe violates these Terms.

9.3 Respect for Others' Rights

You agree to respect the intellectual property rights of others and not to upload, post, or share content that infringes on copyrights, trademarks, or other proprietary rights.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information, including Seamless™ transaction data and Friends profile data, when you use our Service, and reflects our obligations under the Protection of Personal Information Act 4 of 2013 (POPIA). By using EventBridge, you consent to the collection and use of your information as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimer

EventBridge is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties or representations about:

  • The accuracy or completeness of event information supplied by organisers
  • The quality, safety, or lawfulness of events listed on our platform
  • Uninterrupted, timely, or error-free operation of the Service
  • The security of data transmission over the internet
  • Compatibility of the Service with all devices, wallets, or operating systems
  • Event cancellations or postponements arising from causes outside our control, including natural disasters

11.2 Third-Party Events and Services

We are not responsible for:

  • The conduct, quality, or safety of events listed on our platform
  • The acts or omissions of event organisers, including their refund or entry decisions
  • The performance of third-party payment processors, including Paystack
  • External websites or services linked from our platform
  • Technical issues arising from causes beyond our reasonable control

11.3 Limitation of Liability

To the maximum extent permitted by law, EventBridge and Event Bridge Technologies (Pty) Ltd, and our officers, directors, employees and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data or information
  • Business interruption
  • Personal injury or property damage arising at an event
  • Emotional distress
  • Theft of belongings at an event

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability arising from our gross negligence or wilful misconduct. Subject to that, our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to us for the specific service giving rise to the claim.

12. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless EventBridge, Event Bridge Technologies (Pty) Ltd, and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and reasonable expenses (including attorneys' fees) arising from:

  • Your use of, or access to, the Service
  • Your breach of these Terms
  • Your violation of any right of a third party, including intellectual property or privacy rights
  • Content you post or share on the platform
  • Events you organise or attend

This obligation survives termination of these Terms and of your use of the Service.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.

13.2 Dispute Resolution Process

For any disputes arising under these Terms:

  1. Direct Communication: Contact us first to attempt resolution
  2. Mediation: If direct communication fails, we encourage mediation
  3. Binding Arbitration: Unresolved disputes may be subject to binding arbitration by agreement of both parties
  4. Jurisdiction: Subject to the above, the courts of Johannesburg, South Africa have exclusive jurisdiction

13.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes with us individually and waive any right to participate in a class action or class-wide arbitration against us.

14. Force Majeure

EventBridge shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters or severe weather
  • Government actions or regulations
  • War, terrorism, or civil unrest
  • Internet, telecommunications, or payment network failures
  • Pandemics or public health emergencies
  • Labour strikes or industrial action

15. Modifications to These Terms

We may update these Terms from time to time. When we make changes:

  • We will post the updated Terms on our website
  • We will update the "Last Updated" date above
  • For material changes, we may provide additional notice by email or in-app notification
  • Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms

We recommend reviewing these Terms periodically. If you do not agree to updated Terms, you should stop using the Service.

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining Terms will remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy and any feature-specific terms, constitute the entire agreement between you and EventBridge regarding your use of the Service.
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not cede, assign, or transfer your rights or obligations under these Terms to a third party without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
